Terms of Service

These Terms of Service ("Terms") govern your access to and use of the technology consulting and IT services provided by Montana Technology Associates, LLC ("we," "us," or "our"). Please read these Terms carefully before engaging our services.

1. Services

Montana Technology Associates, LLC provides a range of technology and IT services, which may include but are not limited to managed IT services, cybersecurity and compliance, cloud and remote work solutions, business systems consulting, IT strategy and planning, and on‑site implementation projects ("Services"). The specific scope of Services, timelines, and deliverables will be outlined in a separate Statement of Work (SOW) or client agreement.

2. Client Obligations

To enable us to perform our obligations, the Client shall:

  • Cooperate with us and provide any information, access to accounts (e.g., Google Analytics, ad platforms), and materials as may be reasonably required.
  • Be responsible for the accuracy and completeness of all materials provided to us.
  • Obtain all necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names, and trademarks or any other material they supply to us for use in the Services.

3. Payment Terms

Payment terms, including fees, invoicing schedules, and payment methods, will be detailed in the SOW or client agreement. Fees for Services are due in advance of the period in which the Services are to be provided. Late payments may result in the suspension of Services and may incur late fees.

4. Timelines and Deliverables

We will make every reasonable effort to meet the project timelines outlined in the SOW. However, these timelines are estimates and are dependent on timely feedback and provision of materials from the Client. Montana Technology Associates, LLC is not liable for any delays caused by the Client's failure to cooperate.

5. Intellectual Property

Any pre-existing intellectual property shall remain the property of its respective owner. Upon full and final payment, the Client shall own the final deliverables created specifically for the Client as part of the Services. We retain the right to use the deliverables and a description of the project for our portfolio and marketing purposes.

6. Confidentiality

Both parties agree to keep confidential all information concerning the business, affairs, customers, clients, or suppliers of the other party. This obligation shall survive the termination of our agreement.

7. Limitation of Liability

While we strive to provide the highest quality services and achieve the best possible results, Montana Technology Associates, LLC does not guarantee any specific outcomes, such as elimination of all security risks, uninterrupted availability of systems, or any particular financial result. Our liability for any claim arising out of or in connection with the Services shall be limited to the total fees paid by the Client to us in the preceding three (3) months.

8. Termination

Either party may terminate the agreement upon providing written notice as specified in the SOW. Upon termination, the Client is responsible for paying for all Services performed up to the date of termination.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Montana Technology Associates, LLC is located, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.
